The following individuals serve on the Valley Hospital Association
Board of Directors. These individuals are elected by the Valley
Hospital Association membership.

The Association Board has as its purpose and responsibility
the following two areas only:
1. To seek to acquire land, buildings, equipment and other
property for the corporation necessary to provide for the
health care needs of the Matanuska-Susitna Borough. To seek
and acquire for the corporation funds and moneys through gifts,
grants, fund drives, donations, memorials, public funds and
other sources except borrowed funds and funds created by the
operations of the corporation.
2. To elect the members of the Operating Board.
The Association Board requires the same philosophical commitment
but a lesser time requirement. Due to the differing focus
of responsibility, this Board has typically met an average
of twice yearly at the required annual membership meeting
and annual Association Board meeting on the second and third
Monday in June, respectively. These meeting are held in the
Valley Hospital Medical Center in Wasilla. Other meetings
occur on an as-needed basis. Association Board members, however,
are called upon to serve on sub-committees of the Operating
Board or special projects.

The following individuals serve on the Valley Hospital Operating
Board of Directors. These individuals are elected by the Association
board, who are first elected by the Valley Hospital Association
members. The Operating Board of Directors is responsible for
establishing broad corporate policies, promoting performance
improvement and providing for the organizational management
and planning of Valley Hospital Association, Inc.

The Operating Board directs the business and affairs of Valley
Hospital Association, Inc. and establishes broad corporate
policies and is responsible for the overall performance of
Valley Hospital Association, Inc. rather than the day-to-day
operation. Members of this Board are kept informed of the
company's business by reports and documents given to them
regularly by officers and employees of the corporation and
at meetings of the Board and its committees.
Any person who is a general member of the Association at the
time of his election and remains a general member, is qualified
to serve on the Association Board. Any general member who
has been a member of the Association Board, the Operating
Board, a Subsidiary Operating Board, prior Board of Directors
of the corporation or similar Board for at least two (2) years
at the time of his/her election and remains a general member
is qualified to serve on the Operating Board. It is intended
that Operating Board members be experienced. Not with standing
the foregoing provision, no employee of the corporation or
member of an organization representing or attempting to represent
a bargaining unit of employees of the corporation may serve
on an Operating Board or Subsidiary Operating Board, and no
more than one (1) employee of the corporation or member of
an organization representing or attempting to represent a
bargaining unit of employees of the corporation may serve
at any time on the Association Board.
General membership in the corporation is open to all residents
of the Matanuska-Susitna Borough (verified by voter registration
and/or mailing address within the Borough), who are 18 years
of age or older; without regard to citizenship, race, sex,
age or religious preference; who apply for membership; pay
annual membership fees; and comply with the Corporation Bylaws
and Regulations made pursuant thereto. Annual membership fees
are currently assessed at $5.00 per calendar year which, when
paid and accepted, allows the individual to vote in corporate
membership elections and run for and hold a position on the
Board.
The Operating Board regularly meets on the fourth Monday of
each month beginning with a dinner at 6:00 p.m. and the formal
meeting starting at 6:30 p.m. Meetings generally last until
9:00 p.m. with an occasional 10:00 p.m. adjournment. All of
these meetings are currently held in the Conference Room at
Valley Hospital Medical Center in Wasilla. The Operating Board
occasionally meets with members of the Medical Staff in work
sessions or retreats. These may be held on an evening or Saturday
during the day. This Board also participates in ongoing development
and education which sometimes involves a weekend retreat in
state and occasional educational sessions out of state.
The company covers normal costs associated with Board development
and education. A significant amount of reading on current
issues of the industry are disseminated each month and discussed
as to their impact on the company at the Board meetings. Board
meeting agendas and specifics for action, discussion, or information
are delivered in advance and Board members are expected to
prepare for meetings in advance. The commitment expectations
for Board members of the Operating Board are significant -
-not only in time, but in belief and support of the mission
to the community served. There is no room for vested interests
or those who cannot be team players. |
